1. The service
SMEPro ("SMEPro," "we," "us") provides a software platform for oil and gas operators that catalogs regulatory filing requirements, generates and tracks filing deadlines on a compliance calendar, validates form payloads against agency-derived rules, produces agency-format output (including EDI files), and maintains an audit trail of obligations and submissions (the "Service"). These terms are a binding agreement between SMEPro and the organization that opens a workspace ("Customer," "you"). By signing in or using the Service you accept them on behalf of your organization.
2. Your filings stay yours — and so does responsibility for them
This is the most important section of these terms, so it comes first:
- A filing is complete only when the relevant agency accepts it. The Service reflects this: obligations remain open until you record the agency's confirmation.
- Unless expressly agreed in writing, SMEPro does not transmit filings to any agency on your behalf. EDI and form output generated by the Service is submitted by you, through your own agency credentials.
- You are responsible for reviewing output before submission.
3. The regulatory catalog and verification statuses
The Service includes a catalog of forms, deadline rules, and validation rules derived from statutes, agency regulations, and agency publications. Regulations change, and agencies revise forms and filing systems. Accordingly:
- Every catalog entry carries a visible verification status. Entries marked
needs_verificationhave not yet been confirmed against primary sources by our stewardship process and must be treated as drafts. - Verified entries reflect our reading of the cited primary source as of the verification date shown. They are not a representation that the law has not changed since.
- If you find a catalog error, report it to support@smepro.app; corrections are logged in the change ledger visible in the product.
4. Accounts and credentials
- Workspaces are provisioned per organization against your regulatory registration (for Texas operators, your RRC P-5 operator number).
- You are responsible for the confidentiality of credentials issued to your users and for all activity under them. Rotate any bootstrap password issued at provisioning before production use.
- Notify us promptly at support@smepro.app of any suspected unauthorized access; we will assist with credential resets and audit review.
- Accounts may only be created for, and used by, personnel or authorized agents of the Customer organization.
5. Customer data
- You own your data. Asset inventories, filing payloads, confirmations, and documents you load into the Service ("Customer Data") remain yours.
- You grant SMEPro a license to host and process Customer Data solely to provide, secure, and support the Service, as described in our Privacy Policy.
- Customer Data is isolated per workspace by database row-level security; no other tenant can read it. See the Security overview.
- On request, we will export your Customer Data in standard formats (JSON/CSV) during the term and for 30 days after termination.
- SMEPro may use aggregated, de-identified operational metrics (e.g., counts of filings by form type) to operate and improve the Service. Such metrics never identify a Customer or include filing contents.
6. Acceptable use
You agree not to: (a) probe, breach, or test the isolation of another tenant's workspace; (b) submit content you do not have the right to submit; (c) use the Service to file information you know to be false or misleading to a regulator; (d) resell or provide the Service to third parties except for authorized agents filing on your behalf; (e) interfere with the integrity or performance of the Service; or (f) reverse engineer the Service except where that restriction is prohibited by law. We may suspend access that endangers the platform or other tenants, with notice where practicable.
7. Fees
Fees, billing frequency, and any usage tiers are set out in the order form or onboarding agreement for your workspace. Workspaces provisioned during Early Access without an order form are provided free of charge until a written agreement specifying fees takes effect. Taxes are your responsibility, excluding taxes on SMEPro's income.
8. Availability and changes during Early Access
- The Service is currently offered as Early Access. We do not yet commit to a formal service-level agreement; one will accompany general-availability order forms.
- We may modify features with reasonable notice for material changes. We will not materially degrade core functions (calendar, validation, audit export) during a paid term.
- Planned maintenance is announced in advance where practicable.
9. Disclaimers
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SMEPRO DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING SECTION 2, SMEPRO DOES NOT WARRANT THAT THE CATALOG REFLECTS CURRENT LAW AT ALL TIMES, THAT VALIDATION WILL CATCH EVERY ERROR, OR THAT ANY AGENCY WILL ACCEPT ANY FILING.
10. Liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues; and (b) each party's aggregate liability arising out of the Service is capped at the fees paid or payable by Customer for the twelve months preceding the event giving rise to liability (or US $1,000 for workspaces on free Early Access terms). These limits do not apply to a party's breach of Section 6, misuse of the other party's confidential information, or amounts owed under Section 7.
11. Term and termination
- These terms apply from first sign-in and continue until your workspace is closed.
- Either party may terminate for material breach not cured within 30 days of written notice. You may close a free Early Access workspace at any time.
- On termination we make Customer Data available for export for 30 days, then delete it from production systems, except where retention is required by law or for backup cycles (backups expire on their normal schedule). See the Privacy Policy for retention details.
- Sections 2, 5, 9, 10, and 12 survive termination.
12. General
- Governing law and venue. These terms are governed by the laws of the State of Texas, without regard to conflicts rules; exclusive venue lies in the state and federal courts of Travis County, Texas.
- Changes to these terms. We may update these terms; material changes are notified in-product or by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
- Assignment. Neither party may assign these terms without consent, except to a successor in a merger or sale of substantially all assets.
- Entire agreement. These terms, the Privacy Policy, and any order form are the entire agreement and supersede prior discussions. If an order form conflicts with these terms, the order form controls.
